Advising a company on the financing of a real estate joint venture development, escrow and fund management arrangements amongst the parties. We acted as transaction solicitors and more specifically liaised with a foremost trust company in respect of its financing, escrow and fund management roles in the transaction. As part of our scope of work, we reviewed the Joint Venture Development Agreement, prepared and negotiated the Escrow Agreement and Fund Management Agreement in furtherance of the transaction.

Advising Yazeba Ltd on a joint venture transaction valued at N20 Billion in respect of the physical development of a 2,649.191 square metres parcel of land located in a prime area in Lagos State into 23 units of state-of-the-art residential apartments. We advised the Developer on the setting up of the joint venture; the negotiation of the rights and obligations of the parties, the legal issues arising with respect to the development of the project, fund raising for the project, and prepared the requisite project documents. We also had to negotiate and settle the documentation of several other project participants, such as architects, contractors etc. In addition, we are advising the Client on fund raising for the project to the tune of circa US$ 8 Million by way of debt and/or equity.
