Advised a Nigerian company in respect of its proposed investment in an investee company engaged in mining operations. Our role included conducting legal due diligence to assess the possible legal risks related to the corporate status, assets, license, contracts, intellectual property etc. of the investee company and preparing a due diligence report.

Advised an angel investor with respect to his participation in a US$3.5 Million seed financing round for a renewable energy-focused start-up situate in the United States of America but consummating the project through its Nigerian SPV which we set up in accordance with local requirements. We provided legal advisory services including reviewing and negotiating the Convertible Note Purchase Agreement and the Capitalization Table for the transaction. We also drafted requisite resolutions in furtherance of the transaction.

Advising an angel investor with respect to his participation in a US$ 3.5 Million seed financing round for a renewable energy focused start up situate in the United States of America but consummating the current project through its Nigerian SPV. In this regard, we, amongst other things, set up the SPV in compliance with local requirements, conducted extensive due diligence on the investee company including reviewing the corporate documents of the company, reviewing all threatened and/or pending claims and litigation against the company, assessing the possible legal risks related to the corporate status, assets, license, contracts, intellectual property etc. of the investee company and preparing a detailed due diligence report.

Advising an investor with respect to his proposed investment in a real estate development project valued at about N2 Billion (Two Billion Naira). In this regard, we conducted extensive due diligence on the parties to the joint venture and the property to be developed. Our services included conducting offsite visits to the land registry, the Corporate Affairs Commission as well as field visits for the inspection of the property.

Our scope of work included advising on the most suitable location taking into consideration the existence of a double taxation treaty with Nigeria, Cameroon, Benin Republic & Rwanda; the need for a well-grounded understanding of the African banking dynamics and the ease of establishing economic substance in said country.
